NOTICE OF PUBLIC HEARING
Notice is hereby given that a public hearing will be held by
the Board of County Commissioners of the County of Lucas, Ohio (the
“County”) on Tuesday, September 23, 2025, at 11:00 AM
in the County Commissioners’ Hearing Room, One Government
Center, Toledo, Ohio, with respect to the proposed issuance by the
County of its Health Care Facilities Refunding and Improvement
Revenue Bonds, Series 2025 (Lutheran Homes Society, Inc. Obligated
Group Project), in one or more series as part of a plan of finance
(the “Series 2025 Bonds”), pursuant to Chapter 140
and/or Section 133.51 of the Ohio Revised Code to finance
facilities located in the Counties of Lucas and Henry.
It is anticipated that the proceeds of the Series 2025 Bonds
will be made available to Lutheran Homes Society, Inc. (the
“Corporation”), an Ohio non-profit corporation, and one
or more of its affiliates (i) to finance additional “hospital
facilities” as defined in Section 140.01 of the Ohio Revised
Code (“Hospital Facilities”), (ii) to refund all or a
portion of the County of Lucas, Ohio Health Care Facilities
Refunding and Improvement Revenue Bonds, Series 2015A (Lutheran
Homes Society, Inc. Obligated Group Project) (the “Prior
Bonds”), the proceeds of which were used to finance or
refinance Hospital Facilities, (iii) to fund a debt service reserve
fund for the Series 2025 Bonds, if any; (iv) to finance capitalized
interest on a portion of the Series 2025 Bonds, if any; and (v) to
finance certain costs of the Corporation incurred in connection
with the issuance of the Series 2025 Bonds and the refunding and
retiring of the Prior Bonds. The Corporation or one of more of its
affiliates will be the initial owner, operator or manager of each
of the Hospital Facilities listed herein. The Series 2025 Bonds
will be issued as qualified 501(c)(3) bonds and will be used to
finance continuing care retirement community facilities,
residential care facilities, or group homes.
The Hospital Facilities to be financed or refinanced with
the proceeds of the Series 2025 Bonds will be located at the
following locations with the amount of Series 2025 Bond proceeds
allocable to each facility not to exceed the amounts set forth
below:
(A) $10,200,000 at 1036 S. Perry, Napoleon, Ohio, known as
Lutheran Home at Napoleon; (B) $17,500,000 at 1951
Perrysburg-Holland, Holland, Ohio and/or 2001 Perrysburg-Holland,
Holland, Ohio, known as Lutheran Village at Wolf Creek; (C)
$400,000 at 40 South Wheeling Street, Oregon, Ohio; (D) $400,000 at
2405 Seaman Street, Toledo, Ohio, known as East Toledo Group Home;
(E) $400,000 at 2411 Seaman Street, Toledo, Ohio, known as LHS
Family & Youth Services; (F) $400,000 at 10424 Obee Road,
Whitehouse, Ohio, known as Anthony Wayne Group Home; (G) $300,000
at 313 Crestway Drive, Oregon, Ohio, known as Oregon Group Home;
(H) $300,000 at 901 South Wynn Rood, Oregon, Ohio, known as Wynn
Group Home; (I) $6,500,000 at 2021 N. McCord Rd., Toledo, Ohio,
known as the corporate offices of the Corporation; (J) $5,000,000
at 1032 S. Perry, Napoleon, Ohio, known as Alpine Village; and (K)
$700,000 at 1905 Perrysburg-Holland Road, Holland, Ohio, known as
Family & Youth Services.
The aggregate amount of the Series 2025 Bonds will not
exceed $35,000,000. THE SERIES 2025 BONDS SHALL NOT REPRESENT OR
CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OR THE TAXING
POWER OF THE COUNTY OF LUCAS, THE COUNTY OF HENRY, OR ANY OTHER
POLITICAL SUBDIVISION OF THE STATE OF OHIO. Interested persons are
invited to attend this public hearing and will be given an
opportunity to express their views concerning the proposed issuance
of the Series 2025 Bonds.

public hearing.
